TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Truleo platform and related services (collectively, the “Platform”) provided by Truleo, Inc., a Delaware corporation (“Truleo,” “we,” “us,” or “our”). By accessing or using the Platform, or by clicking “I Agree” or a similar button or checkbox, you (“User” or “you”) agree to be bound by these Terms on behalf of yourself and, where applicable, the organization that has licensed the Platform (“Department”). If you do not agree, do not access or use the Platform.

1. Definitions

 

“Authorized User” means an employee or contractor of a Department who has been granted access to the Platform by that Department.
“Documentation” means Truleo’s user manuals, handbooks, and guides relating to the Platform made available electronically or in hard copy.
“Platform” means Truleo’s CJIS-compliant cloud applications.
“Department” means the law enforcement or government agency that has entered into a separate license agreement with Truleo for access to the Platform.

 

2. License Grant and Restrictions

Subject to these Terms and the terms of the applicable license agreement between Truleo and your Department, Truleo grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely for your Department’s internal business purposes. The Platform is licensed, not sold.

You may not, directly or indirectly:

  • copy, modify, or create derivative works of the Platform or Documentation;
  • rent, lease, sell, sublicense, assign, or otherwise transfer access to the Platform;
  • reverse engineer, decompile, decode, or attempt to access the source code of the Platform;
  • remove any proprietary notices from the Platform or Documentation; or
  • use the Platform in any manner that violates applicable law or infringes any third-party rights.

Truleo reserves all rights not expressly granted in these Terms.




3. User Responsibilities

You are responsible for all activity that occurs under your account. You agree to maintain the confidentiality of your credentials and to notify Truleo promptly at support@truleo.co if you believe your account has been compromised.

Your Department is responsible for ensuring that all Authorized Users comply with these Terms. Any act or omission by an Authorized User that would constitute a breach of these Terms is deemed a breach by the Department.

You represent that your Department owns or is fully authorized to provide to Truleo any body-worn camera video or other data submitted to the Platform.



4. Intellectual Property

As between you and Truleo, Truleo owns all right, title, and interest in and to the Platform and Documentation, including all intellectual property rights. Nothing in these Terms transfers any ownership interest to you.

If you submit feedback, suggestions, or ideas regarding the Platform (“Feedback”), you assign to Truleo all right, title, and interest in that Feedback. Truleo may use Feedback for any purpose without attribution or compensation.

The Platform may include or be distributed with third-party software or open source components. Such components are subject to their own license terms and are not licensed to you under these Terms.



5. Confidentiality and Data

Each party may have access to confidential information of the other in connection with use of the Platform. You agree to hold Truleo’s confidential information in strict confidence, to use it only as necessary to use the Platform, and not to disclose it to any third party without Truleo’s prior written consent. These confidentiality obligations survive termination of your access to the Platform for five (5) years, and indefinitely with respect to information that constitutes a trade secret.

Truleo will access Department data, including body-worn camera video, only as authorized by the Department and in accordance with applicable agreements between the Department and Truleo.

Each party shall maintain appropriate administrative, physical, and technical safeguards to protect confidential information and personal data in accordance with applicable data protection laws. Please review our Privacy Policy for information about how we handle personal data.

 

6. Limited Warranty; Disclaimer

Truleo warrants that the Platform will perform materially as described in the Documentation during the term of your license, and that Truleo will use industry-standard practices to protect the Platform against malicious code. These warranties do not apply if you misuse the Platform or use it in a manner inconsistent with the Documentation.

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE PLATFORM AND DOCUMENTATION ARE PROVIDED “AS IS.” TRULEO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRULEO DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL CODE.



7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER TRULEO NOR YOU WILL BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR A PARTY WAS ADVISED OF THEIR POSSIBILITY.

TRULEO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED FIVE THOUSAND DOLLARS ($5,000). The foregoing limitations do not apply except to the extent otherwise specified in a separate written agreement between Truleo and a Department, in which case such agreement shall control.



8. Term and Termination

These Terms are effective when you first access the Platform and remain in effect until terminated. Truleo may suspend or terminate your access immediately if you breach these Terms. If you are accessing the Platform on behalf of a Department that has entered into a separate written agreement with Truleo, termination rights and cure periods will be governed by that agreement.

Upon termination, your right to access and use the Platform ceases. Sections 4, 5, 6, 7, and 9 survive termination.

 

9. General

Governing Law. These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved exclusively in the federal or state courts located in Greenville County, South Carolina, and each party consents to the personal jurisdiction of those courts. Each party waives any right to a jury trial with respect to any dispute arising under these Terms.

Updates to These Terms. Truleo may update these Terms from time to time by posting a revised version. Such updates will apply only to future access and use of the Platform. For Departments that have entered into a separate written agreement with Truleo, no modification to such agreement will be effective except as set forth in that agreement.

Force Majeure. Truleo will not be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, strikes, or governmental action.

Assignment. You may not assign your rights or delegate your obligations under these Terms without Truleo’s prior written consent. Truleo may assign these Terms freely.

Order of Precedence. If you are accessing the Platform on behalf of a Department that has entered into a separate written agreement with Truleo, and there is any conflict between these Terms and that agreement, the terms of the written agreement shall control.

Entire Agreement. These Terms, together with your Department’s applicable license agreement and our Privacy Policy, constitute the entire agreement between you and Truleo regarding the Platform and supersede all prior agreements or understandings on that subject. In the event of any conflict between these Terms and a separate written agreement between Truleo and a Department, the written agreement shall control.

Severability. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Compliance with Laws. You agree to use the Platform in compliance with all applicable laws, regulations, and orders.
